These Terms govern your access to and use of the Kora Fleet Management System, including all associated APIs, mobile applications, and platform services.

By creating an account, accessing, or using the Kora Fleet Management System ("Service"), you agree to be bound by these Terms of Service ("Terms") and all policies incorporated by reference. If you are accepting on behalf of a company or other legal entity ("Customer"), you represent that you have authority to bind that entity.
If you do not agree to these Terms, you must not access or use the Service. Continued use after any modification constitutes acceptance of the updated Terms.
Kora provides a multi-tenant SaaS fleet management platform. The Service includes vehicle dispatch and tracking, fuel consumption monitoring and anomaly detection, maintenance scheduling, personnel management, invoicing, M-Pesa payment disbursements, and associated APIs and webhooks.
3.1 Service Availability
We aim for 99.5% monthly uptime excluding scheduled maintenance. Scheduled maintenance windows will be communicated at least 48 hours in advance. Kora is not liable for downtime caused by third-party services including Supabase infrastructure, Safaricom M-Pesa APIs, or internet connectivity failures outside our control.
3.2 Service Modifications
We reserve the right to modify, add, or remove features at any time. Material reductions to core functionality will be communicated to affected Customers at least 30 days in advance via email.
3.3 Beta Features
Features marked as beta or preview are provided as-is without SLA guarantees. We may discontinue beta features without notice.
4.1 Account Registration
Customers register companies through the Kora onboarding flow. Each company account is fully isolated; no Customer can access another Customer's data. The Customer is responsible for all activity under their company account.
4.2 User Credentials
Users are responsible for maintaining the confidentiality of their credentials. Sharing login credentials between individuals is prohibited. You must notify us immediately at security@korafleet.com upon any suspected unauthorised access.
4.3 Role-Based Access
Access within a company is governed by role-based capabilities assigned by the company administrator. Kora does not control intra-company role assignments and is not responsible for access granted by Customer administrators.
4.4 Join Codes
Company administrators may generate join codes to onboard staff. Join codes expire after 30 days. Customers are responsible for securing and distributing join codes appropriately.

Violation of this section may result in immediate suspension without refund. Serious violations, including fraud and security attacks, will be reported to relevant authorities.
6.1 Subscription Fees
Subscription fees are billed monthly in advance. Pricing is as published on our pricing page at the time of subscription. Kora reserves the right to change subscription fees with 30 days' written notice to the Customer's registered email.
6.2 M-Pesa Paybill Payments
Customers in Kenya may pay subscription fees via M-Pesa Paybill using their company billing reference. Payments are applied to outstanding invoices in chronological order. M-Pesa payments are subject to Safaricom's own terms and transaction limits.
6.3 Late Payment & Suspension
Accounts more than 14 days past due may be suspended. Suspended accounts retain read-only access to their data for 30 days. After 60 days of non-payment, accounts may be terminated and data permanently deleted with 7 days' prior notice.
6.4 Refund Policy
Subscription fees are non-refundable except where required by applicable law. If Kora discontinues the Service, pro-rated refunds for unused subscription periods will be issued.
6.5 M-Pesa B2C Disbursements
Kora facilitates M-Pesa B2C transfers on behalf of Customers for driver payouts and advances. The Customer bears full legal responsibility for the legality and accuracy of disbursement instructions. Kora charges a transaction fee per successful disbursement as specified in the plan schedule. Failed B2C transactions due to Safaricom errors are not Kora's liability.
7.1 Customer Data Ownership
All Operational Data submitted by or generated by the Customer remains the exclusive property of the Customer. Kora does not claim ownership of Customer data.
7.2 Licence to Process
You grant Kora a non-exclusive, worldwide, royalty-free licence to store, process, and transmit your Operational Data solely to provide and improve the Service. This licence terminates upon account deletion.
7.3 Data Accuracy
Customers are responsible for the accuracy of all data entered into the platform. Kora's anomaly detection is advisory only and does not substitute for independent verification.
7.4 Data Retention & Deletion
Upon termination, Customer data is retained for 30 days for export purposes, then securely deleted. Customers may request immediate deletion by contacting support@korafleet.com. Audit logs may be retained for longer periods where required by Kenyan law.
7.5 Aggregated Analytics
Kora may use anonymised, aggregated, non-identifiable data derived from platform usage for product improvement and statistical research. No individual company data is disclosed in such analytics.
The Service, including all software, design systems, algorithms, brand elements, and documentation, is the exclusive property of Kora Fleet Technologies and protected under Kenyan and international intellectual property law.
You receive a limited, non-exclusive, non-transferable licence to access and use the Service during the term of your subscription, solely for your internal fleet operations. This licence does not grant any right to copy, modify, distribute, or create derivative works based on the Service.
Any feedback, feature requests, or suggestions you provide may be used by Kora without restriction or compensation.
Each party agrees to keep the other's Confidential Information strictly confidential and not to disclose it to third parties without prior written consent, except as required by law. "Confidential Information" includes pricing, technical specifications, roadmaps, and non-public business information.
Kora employees and contractors with Platform Console access are bound by confidentiality obligations and may not access Customer Operational Data except where strictly required for support, security incident response, or legal compliance.
To the maximum extent permitted by applicable law, Kora's total cumulative liability to you for any claims arising from these Terms or the Service shall not exceed the greater of: (a) the total subscription fees paid by the Customer in the three months preceding the event giving rise to the claim, or (b) KES 10,000.
Kora shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, loss of data, or business interruption, even if advised of the possibility of such damages.
Kora is not liable for losses resulting from: (a) Customer failure to maintain accurate operational records; (b) fraudulent or negligent acts by Customer users; (c) M-Pesa transaction failures caused by Safaricom; (d) force majeure events; or (e) Customer failure to implement adequate access controls.
You agree to indemnify, defend, and hold harmless Kora, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law including employment law, data protection law, or financial regulation; (d) any content or data you submit to the Service; or (e) any dispute between you and your drivers, employees, or subcontractors facilitated through the platform.
12.1 By the Customer
Customers may terminate their subscription at any time via account settings or by contacting support@korafleet.com. Termination takes effect at the end of the current billing period.
12.2 By Kora — For Cause
Kora may immediately suspend or terminate access without notice if: (a) the Customer materially breaches these Terms and fails to cure within 7 days of notice; (b) Kora has reasonable grounds to believe the account is being used for fraudulent or illegal activity; (c) the Customer's use poses a security risk to the platform or other customers.
12.3 Effect of Termination
Upon termination, your licence to use the Service ceases immediately. You may export your Operational Data within the 30-day post-termination window. Sections 7, 8, 9, 10, 11, and 13 survive termination.
These Terms are governed by and construed in accordance with the laws of Kenya. Any dispute arising under or in connection with these Terms shall first be submitted to good-faith negotiation between the parties.
If unresolved within 30 days, the matter shall be referred to arbitration under the Nairobi Centre for International Arbitration (NCIA) Rules. The arbitration shall be conducted in English, in Nairobi, and the award shall be final and binding.
Nothing in this section prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction to prevent irreparable harm.
Kora reserves the right to update these Terms at any time. For material changes, we will provide at least 14 days' notice via email to the Customer's registered address or via in-app notice. Continued use after the effective date constitutes acceptance.
Minor changes such as corrections or updated contact information may be made without notice and are effective immediately upon publication.
